  • Professional Corporations require that all shareholders (unless exempted by the board of architects), officers (except for the secretary and treasurer), and at least half of the directors be licensed in a professional service provided by the PC.

Limited Liability Companies:

  • Limited Liability Companies (LLCs) must designate a Tennessee licensed architect to be responsible for all architectural activities. This person must have either the authority to make independent design decisions or serve as a manager of the LLC.

Professional Limited Liability Companies:
